Website Management Terms of Service

Introduction

These Terms of Service (“Terms”) govern your subscription to Jenkins Digital’s Website Management Service. By subscribing to or using this service, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you should not subscribe to or use the Website Management Service.

Service Description

Jenkins Digital provides website management and maintenance services for your existing website (which remains hosted with your chosen hosting provider). Jenkins Digital is a white-label reseller utilising third-party tools (including the WPMU DEV platform) to deliver these services. Our Website Management Service is offered at $15.00 AUD per month and includes the following features and tasks:

  • Performance Optimisation: Enhancing your website’s speed and responsiveness using caching, database optimisation, and other best practices.
  • Image Optimisation: Compressing and optimising images to improve load times without significant quality loss.
  • SEO Optimisation: Implementing basic on-site SEO adjustments (e.g. metadata improvements, sitemap updates) to help improve visibility in search engines.
  • Security Optimisation: Conducting regular security checks, plugin updates, and implementing protections against malware and other threats.
  • Monitoring & Weekly Backups: Continuous uptime monitoring of your site and weekly website backups for disaster recovery purposes.
  • Content Updates (Up to 1 Hour/Month): Minor content edits such as text updates, image replacements, or small layout adjustments, up to a total of one hour of labour per month (subject to fair use as described below).

All services will be provided through Jenkins Digital’s client hub interface (powered by WPMU DEV’s white-label Hub). While Jenkins Digital will be your point of contact, you acknowledge that certain underlying service functionalities are facilitated by WPMU DEV’s premium plugins and platform.

Fair Use Policy for Content Updates

The included 1 hour per month of content editing is subject to a fair use policy:

  • This time is intended for minor changes such as small text edits, swapping out images, or other minor design/content tweaks.
  • Update requests that would require more than the included 1 hour of work may be outside the scope of the base service. In such cases, Jenkins Digital will inform you that additional fees could apply. If you agree, excess work beyond the included hour will be billed at an hourly rate (as agreed separately).
  • The service does not include major website overhauls such as full page redesigns, development of new features or plugins, or other extensive structural changes. Such work would require a separate project agreement.

Payment & Billing

  • The Website Management Service is provided on a subscription basis for a fee of $15.00 AUD per month. This fee will be billed automatically each month in advance of service.
  • Payment is due in advance of each service period (monthly billing cycle). It is your responsibility to ensure that the payment method on file is current and has sufficient funds.
  • Non-Payment: If a monthly payment cannot be processed or is not received, Jenkins Digital may suspend the website management services until payment is made. Continued non-payment may result in termination of the service (see Cancellation & Termination below).
  • Jenkins Digital reserves the right to adjust the subscription fee. You will be provided with at least 30 days’ notice of any price change. If you do not agree to the new price, you may cancel the service before the new pricing takes effect.

Customer Responsibilities

  • Access and Credentials: You agree to provide Jenkins Digital with all necessary administrative access to your website (e.g., WordPress admin login credentials, hosting control panel access if needed) to perform the management and maintenance services. These credentials will be kept secure and used only for service purposes.
  • Hosting and Domain: You are responsible for maintaining your own website hosting plan and domain name registration. This service does not include web hosting or domain services. You must ensure that your hosting environment is functional and meets the minimum requirements for running the necessary management plugins (as advised by Jenkins Digital).
  • Third-Party Services: Jenkins Digital’s service depends on various third-party services and plugins (including those provided by WPMU DEV). Jenkins Digital is not responsible for third-party service failures or issues outside of our control, such as hosting server downtime, email service outages, domain expiration, or conflicts caused by third-party plugins/themes outside the scope of our maintenance.
  • Content Provision: If you request content updates that require new text, images, or other materials, you are responsible for providing the necessary content. Jenkins Digital does not create original content under this maintenance plan, but will post or update content that you supply.

Service Limitations & Exclusions

  • Scope of Service: This Website Management Service is focused on ongoing maintenance and minor improvements to an existing website. It does not include building a new website, extensive redesign of your current site, or custom software development. Any requests beyond the normal maintenance scope may require a separate agreement or project contract.
  • No Guaranteed Feature Development: Jenkins Digital will not develop new complex features or functionality as part of this monthly service. Such requests (for example, adding a complex e-commerce system or custom plugin development) fall outside these Terms and would be handled (and billed) as a separate development project.
  • Third-Party Plugin & Software Issues: Jenkins Digital will take standard maintenance efforts to keep your site’s software (themes, plugins, WordPress core) updated and compatible. However, we are not liable for issues or conflicts caused by third-party plugins, themes, or software bugs that are outside of our reasonable control. We will attempt to troubleshoot and resolve conflicts within the included maintenance scope, but some issues may require you to seek support from the third-party vendor or incur additional charges if extensive effort is needed.
  • White-Label Reseller Acknowledgment: As noted, Jenkins Digital uses WPMU DEV’s platform and tools to deliver many services (performance, backups, etc.). The availability and functionality of some features are subject to the terms and performance of those third-party services. Jenkins Digital will do its best to configure and utilise these tools for your benefit, but makes no guarantee regarding any limitations imposed by WPMU DEV or any other third-party provider.
  • Client Content Responsibility: Other than the weekly backups we perform, you are responsible for maintaining your own up-to-date backups of your website content, especially before requesting significant changes. Jenkins Digital’s backups are mainly for disaster recovery of the site environment and may not archive every piece of content or data you might consider critical (see Liability & Disclaimers below for more on backups).

Data Collection & Privacy

In order to effectively provide the Website Management Service, Jenkins Digital (and its third-party service providers, including WPMU DEV) may collect and process certain data from your website:

  • This can include website performance metrics, security scan results, uptime/downtime information, and other diagnostic data, as well as information required for backup and optimisation processes. It may also include personal information about site administrators or users to the extent needed (for example, user IDs or email addresses for managing accounts or sending reports).
  • Any data collected will be used solely for the purpose of delivering and improving the management services. Jenkins Digital will handle all collected data in accordance with its Privacy Policy and applicable data protection laws. Likewise, any third-party service used (such as WPMU DEV) will handle data under their respective privacy policies.
  • By subscribing to this service, you consent to this necessary data collection and usage. You also agree that Jenkins Digital may install and use required management plugins or integrations (e.g., the WPMU DEV Dashboard plugin) on your website to facilitate these services.

If you have specific compliance requirements (for example, GDPR requests or data residency concerns), please inform Jenkins Digital so we can discuss appropriate measures or adjustments.

Cancellation & Termination

  • Customer Cancellation: You may cancel your Website Management Service subscription at any time by notifying Jenkins Digital (for example, through the client hub or support email). Cancellation will take effect at the end of your current billing period. After that date, Jenkins Digital will cease all management services on your website. (No pro-rated refunds are provided for mid-month cancellations; your service will simply continue until the paid period concludes.)
  • Effect of Cancellation: Upon cancellation or expiration of the service, Jenkins Digital may remove any proprietary or licensed management plugins from your site (for instance, WPMU DEV premium plugins) since those licenses are provided as part of the service. Your website will remain functional on your own hosting, but you will be responsible for its maintenance thereafter. We recommend you ensure alternative security and backup measures are in place once our services end.
  • Provider Termination: Jenkins Digital reserves the right to suspend or terminate your subscription with immediate effect if you violate these Terms, misuse the service, or fail to pay the subscription fees. In most cases of non-payment, service suspension will precede termination (see Payment & Billing – Non-Payment above). For serious violations such as security abuse or other misconduct, termination or suspension may be enacted without prior notice to protect other clients or Jenkins Digital’s systems.
  • Post-Termination Data: Since the website itself is hosted with you/your provider, your content and data remain in your control upon termination. Any data specifically related to the management service (such as performance logs or backup files stored by Jenkins Digital) may no longer be retained by Jenkins Digital after termination, except as required for our internal records or legal obligations. It is recommended that you ensure you have recent backups and copies of any data you may need before the service ends.

Liability & Disclaimers

  • Best Efforts, No Guarantee: Jenkins Digital will take all reasonable measures to ensure your website’s performance, security, and uptime are improved or maintained through the management service. However, we do not guarantee 100% error-free operation or any specific results. Websites are complex systems, and issues may still arise despite our efforts. For example, we cannot promise that your site will never experience downtime, never be compromised by a cyberattack, or achieve a particular search engine ranking due to our SEO adjustments.
  • Service Provided “As Is”: Except as expressly provided in these Terms, the Website Management Service is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Jenkins Digital disclaims all warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. You acknowledge that any software or plugins used in the service (including third-party plugins from WPMU DEV) are also provided as is, and we do not warrant that they are perfectly error-free or compatible with all environments.
  • Limitation of Liability: Jenkins Digital is not responsible or liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to the use of our Website Management Service. This exclusion applies to any loss of data, loss of content, lost profits or revenue, loss of business opportunities, loss of goodwill or reputation, or downtime of your website, even if such loss or damage was foreseeable or if we have been advised of the possibility of such damages. Our total liability to you for any claim arising from or related to the service (whether in contract, tort, or any other form of action) is limited to the amount you have paid to Jenkins Digital for this service in the three (3) months immediately preceding the event giving rise to the claim.
  • Third-Party Liability: Jenkins Digital will not be liable for failures or issues caused by third-party services or circumstances beyond our control. This includes problems attributable to your web hosting company, domain registrar, internet network providers, or the failure of third-party software (including WPMU DEV tools) that we do not own. While we will assist in mitigating issues when possible, ultimate responsibility for third-party outages or defects lies with those providers.
  • Backup and Data Loss: We perform weekly backups as a courtesy and for emergency recovery; however, Jenkins Digital does not guarantee that any backup will be available or sufficient to restore all your data in every scenario. We strongly encourage you to maintain your own independent backups of your website and database. Jenkins Digital is not liable for any loss of content or data if a backup fails, is corrupted, or cannot be used to restore your site to the desired state. The customer assumes full responsibility for critical data backups outside the maintenance provided.
  • Security and Updates: Jenkins Digital will implement security measures and keep software updated to reduce vulnerabilities. Nonetheless, no security service can guarantee absolute protection. By using our service, you understand that no website is 100% secure and agree that Jenkins Digital will not be held liable for security breaches or hacks that occur, provided that we have followed industry-standard practices in securing and maintaining your site.

Modifications to These Terms

Jenkins Digital may update or modify these Terms of Service from time to time as necessary to reflect changes in our services or for legal, operational, or policy reasons. Whenever a material change is made, we will provide you with at least 30 days’ notice prior to the new terms taking effect. Notice may be given via email, via a notification in the client hub, or by other reasonable means.

If you continue to use the Website Management Service after any updated Terms take effect, that continued use will constitute your acceptance of the revised Terms. If you do not agree with the changes, you must cancel your subscription before the new Terms apply.

Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Australian Capital Territory (ACT), Australia, without regard to its conflict of law principles. You agree that any disputes arising out of or relating to this agreement or the provision of services shall be subject to the exclusive jurisdiction of the courts located in the Australian Capital Territory.
